Abstrak

Keberadaan perusahaan grup dalam kegiatan usaha di Indonesia ternyata belum menjadi justifikasi bagi pengakuan yuridis terhadap status perusahaan grup terhadap badan hukum lainya. Aspek yuridis perusahaan grup, sebagaimana diatur pada Undang-undang Perseroan Terbatas ataupun peraturan perundang-undangan lain, masih mempertahankan pengakuan yuridis terhadap status badan hukum induk dan anak perusahaan sebagai subjek hukum mandiri. Aturan mengenai pertanggung jawaban induk perusahaan terhadap anak perusahaannya tidak diatur secara jelas di dalam peraturan perundang-undangan sehingga induk perusahaan tidak dapat dimintai pertanggung jawaban secara hukum atas kerugian pihak ketiga akibat tindakan yang dilakukan anak perusahaanya. Doktrin Piercing the corporate veil-pun yang mana sudah dimasukan ke dalam UU Perseroan Terbatas tidak dapat melindungi hak-hak pihak ketiga. Hal ini menyebabkan tidak adanya rasa keadilan bagi pihak ketiga yang ikut terlibat dalam kegiatan usaha yang dilakukan oleh perusahaan grup. Limited liability dalam limited liability ini menciptakan permasalahan menyangkut perlindungan hukum bagi pihak ketiga dari anak perusahaan pada lapisan paling bawah. Semakin jauh lapisan anak perusahaan dari ultimate shareholder menyebabkan pihak ketiga berada dalam posisi rentan. Untuk itu pеnulis ingin mеnganalisis tanggung jawab hukum sub-holding company terhadap pihak ketiga berdasarkan prinsip limited liability dalam limited liability pada perusahaan grup agar tidak menimbulkan permasalahan menyangkut perlindungan hukum bagi pihak ketiga dari anak perusahaan pada lapisan paling bawah.

Abstract

The existence of corporate group in businesses operating in Indonesia has not been a justification for juridical recognition of the status of a corporate group regarding another legal entity. The juridical aspect of a corporate group, as regulated in Law concerning Limited Liability Company or other laws, still holds on to juridical recognition of a status of parent legal entity and subsidiary as independent legal subject. However, the liability of a parent company towards its subsidiary is not governed clearly in legislation and this legal loophole means that the parent company cannot be required the liability regarding the loss that the third party has to face due to the issue caused by the subsidiary. The Piercing doctrine, the corporate veil, as governed in Law concerning Limited Liability Company cannot protect the third party. When this is the case, no justice seems to be given to the third party involved in businesses run by corporate group. This limited liability seems to have created problem regarding legal protection for the third party of the subsidiary at the bottom level. The further down a subsidiary might be positioned from its ultimate stakeholders, the more vulnerable this position will be. Thus, this research is aimed at analysing the liability of sub-holding company towards the third party according to limited liability principle in a corporate group, and this analysis is intended to prevent any potential issue regarding the legal protection for the third party of the subsidiary positioned at the bottom.
