ABSTRAK
Asas proporsionalitas adalah asas yang melandasi pertukaran hak dan kewajiban para pihak berkontrak agar sesuai proporsinya.Kontrak merupakan wadah yang mempertemukan kepentingan-kepentingan antara satu pihak dengan pihak lainnya yang menuntut bentuk pertukaran kepentingan yang adil, termasuk dalam hubungan kontraktual antara pemberi waralaba (franchisor) dengan penerima waralaba (franchisee) dalam perjanjian waralaba pada hakikatnya tak dapat dilepaskan dalam hubungannya mengenai masalah keadilan. Keadilan dalam berkontrak lebih termanifestasi apabila pertukaran kepentingan para pihak terdistribusi sesuai dengan hak dan kewajibannya secara proporsional. Dikatakan proporsional berdasarkan pencerminan prestasi dan kontra prestasinya yang dicerminkan berdasarkan kesepakatan antar pihak, terutama dalam hal ini perjanjian waralaba yang merupakan perjanjian baku yang dibuat oleh kreditur/franchisor.

ABSTRACT
The principle of proportionality is the principle that underlies the exchange of rights and obligations of the parties contract to fit the proportions.Contract is an platform that meets the interests of parties involved in it, which demand thefair exchange of the interests, included in the contractual relationship between the franchisor with the franchisee in the franchise agreement essentially can’t be separated in its relation with the issue of justice. Fairness in contracting is more manifested when the exchange of interests between the parties is distributed in accordance with the rights and obligations proportionally. Being said proportionally is based on the relflection of the achievements and cons achievements that reflected based on agreement between the parties, especially in this case the franchise agreement which isa standard agreement made by the creditor / franchisor.
