PT. Bukit Intan INDOPERKASA company leasing heavy equipment on construction projects, land clearing for palm oil tree plantations, mining and oil becomes a contracting company in the field of mining. In practice in the field, it turns out not all companies in the city of Balikpapan that applies the principles of Good Corporate Governance. This study aims to assess the responsibility of the Board of Directors to implement the obligation to implement good corporate governance in the management of a limited liability connection with legal protection for minority shareholders in PT Bukit Intan INDOPERKASA Balikpapan. This type of research is empirical legal research.From the results of research in the know of Directors of PT Bukit Intan INDOPERKASA Balikpapan is already running in good faith and full responsibility. Each member of the board of directors are personally liable for negligence in carrying out these tasks, and any losses suffered by the company or third parties have to be borne by private property. As for the Board of Directors who do not carry out their responsibilities, in other words do not apply the principles of good corporate governance which causes damages to the company, according to U-ndang Company Law breach of fiduciary duty. In this case, the directors can be sued by a shareholder derivative action on behalf of the company.

Abstrak
PT. Bukit Intan Indoperkasa adalah perusahaan penyewaan alat-alat berat di proyek-proyek konstruksi, penyiapan lahan untuk kelapa sawit, hutan tanaman industri, pertambangan dan minyak menjadi sebuah perusahaan kontraktor di bidang pertambangan. Dalam prakteknya di lapangan, ternyata belum semua perusahaan di Kota Balikpapan yang menerapkan prinsip Good Corporate Governance. Penelitian ini bertujuan untuk mengkaji tanggung jawab Direksi dalam mengimplementasikan kewajiban melaksanakan good corporate governance dalam pengelolaan perseroan terbatas kaitannya dengan perlindungan hukum bagi pemegang saham minoritas di PT Bukit Intan Indoperkasa Balikpapan. Jenis penelitian ini adalah penelitian hukum empiris. Dari hasil penelitian di ketahui Direksi PT Bukit Intan Indoperkasa Balikpapan sudah menjalankannya dengan itikad baik dan penuh tanggung jawab. Setiap anggota direksi bertanggung jawab secara pribadi atas kelalaian dalam menjalankan tugas-tugas tersebut, dan segala kerugian yang diderita oleh perseroan atau pihak ketiga harus ditanggung dengan harta pribadinya. Sedangkan bagi Direksi yang tidak melaksanakan tanggung jawabnya, dengan kata lain tidak menerapkan prinsip-prinsip good corporate governance sehingga mengakibatkan kerugian pada perseroan, menurut U ndang-undang Perseroan Terbatas dianggap melanggar fiduciary duty. Dalam hal ini, direksi dapat digugat secara derivatif oleh pemegang saham yang bertindak atas nama perseroan.
